Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the IntelliFirm website, software applications, SMS programs, and related services (collectively, the “Services”). The Services are operated by Solve Technology Solutions, LLC. By accessing or using the Services, you agree to these Terms.

Use of the Services

IntelliFirm provides software tools and workflow automation features, which may include billing support, inbox triage alerts, and drafting workflow support. You may use the Services only in compliance with these Terms and applicable law.

You are responsible for:

• Providing accurate registration and account information.
• Maintaining the confidentiality of login credentials.
• Restricting access to your account and devices.
• Using the Services only for authorized business purposes.

SMS Program Terms

If you opt in to receive text messages from IntelliFirm, you consent to receive transactional and operational SMS messages related to your use of the Services. These may include Billy billing/time-entry notices, Miley inbox alerts, Perry draft-status updates, account notifications, reminders, and secure embedded links.

Message frequency varies. Message and data rates may apply. Reply STOP to cancel and HELP for help.

Consent to receive text messages is not required to purchase or use IntelliFirm except where SMS is necessary for a specific alerting workflow you request.

Platform Rules

You agree not to:

• Use the Services in violation of law, regulation, or third-party rights.
• Attempt to gain unauthorized access to the Services or related systems.
• Interfere with the operation, security, or integrity of the Services.
• Upload or transmit malicious code, harmful content, or unauthorized data.
• Use the Services to send spam or unauthorized communications.

Drafting and Review Workflows

Certain IntelliFirm features may assist with document drafting and workflow preparation. Perry is designed as a drafting support tool with attorney review in the loop before final use or action. You are solely responsible for reviewing, approving, and determining the appropriateness of any output before relying on, sending, filing, or using it.

Alerts and Communications

Miley alert workflows are designed to send metadata-based SMS alerts rather than underlying email content. Delivery timing is not guaranteed, and IntelliFirm is not responsible for carrier delays, filtering, outages, device issues, or service interruptions.

Fees and Accounts

If the Services are offered on a paid basis, you agree to pay all applicable fees, taxes, and charges associated with your account. IntelliFirm may suspend or terminate access for overdue accounts, misuse, security concerns, or violations of these Terms.

Intellectual Property

The Services, including software, content, branding, interfaces, and related materials, are owned by IntelliFirm or its licensors and are protected by applicable intellectual property laws. These Terms grant a limited, revocable, non-exclusive, non-transferable right to use the Services during the applicable subscription or authorized access period.

Disclaimers

The Services are provided on an “as is” and “as available” basis, except as otherwise expressly stated in a written agreement. IntelliFirm disclaims all implied warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, IntelliFirm and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to the Services.

To the fullest extent permitted by law, IntelliFirm’s total liability for any claim arising out of or relating to the Services will not exceed the amount paid by you to IntelliFirm for the Services during the 12 months preceding the event giving rise to the claim.

Termination

IntelliFirm may suspend or terminate your access to the Services at any time if you violate these Terms, create security or legal risk, or misuse the Services. You may stop using the Services at any time and may opt out of SMS messages by replying STOP.

Changes

IntelliFirm may update these Terms from time to time. Continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles, unless a separate written agreement states otherwise.
